Version: 1.0 · Effective date: 2026-09-01 · Last updated: 2026-09-10
Companion documents: Privacy Policy · Data Processing Agreement
1. Parties and scope
These Terms of Use / End User Licence Agreement ("EULA") govern the installation and use of the LUX plugin for Autodesk Revit and the connected cloud services (together, the "Software") provided by BIMTech Innovations AB, org. nr 559518-2881, Jungfrudansen 6, 171 56 Solna, Sweden ("Upskiller").
The Software currently comprises:
- LUX Live — real-time, machine-learning-based prediction of daylight metrics (Daylight Factor and related metrics) during design; and
- LUX Certify — verified daylight simulation using a validated ray-tracing method (Radiance), suitable for formal compliance and certification purposes.
1.1 Relationship to the License and Service Agreement. Use of the Software normally requires a separate written License and Service Agreement (or beta/pilot agreement) between Upskiller and your organisation ("Master Agreement"). Where a Master Agreement exists, it prevails over this EULA in the event of conflict. This EULA supplements the Master Agreement and also applies to each individual person who installs or uses the Software ("you", "User").
1.2 Acceptance. By installing or using the Software you accept this EULA. If you are accepting on behalf of an organisation you confirm you are authorised to do so. If you do not agree, do not install or use the Software.
2. Licence grant
Subject to this EULA and the Master Agreement, Upskiller grants your organisation a non-exclusive, non-transferable, non-sublicensable, revocable licence, for the term and scope set out in the Master Agreement, to:
- install the plugin on computers within your organisation, and
- use the plugin to access the LUX cloud services for your organisation's own building projects.
Where the Master Agreement specifies a concurrent-seat model (as applies to LUX Certify), the number of simultaneous users may not exceed the number of seats purchased, counted separately for LUX Live and LUX Certify.
If you use the Software without a Master Agreement (for example during an evaluation expressly permitted by Upskiller), the licence is limited to internal evaluation, is provided with no service commitments, and may be withdrawn at any time.
2.1 Free evaluation. Upskiller may make a limited free evaluation of LUX Live available without a Master Agreement, currently 10 prediction runs per User. The free evaluation is for internal assessment only, carries no support or availability commitment, and may be changed or withdrawn at any time. Use beyond the free evaluation requires a paid licence — contact [email protected].
3. Licence restrictions
You may not, and may not permit any third party to:
- make the Software available to, or use it for the benefit of, anyone outside your organisation (no service bureau, hosting or resale);
- copy, distribute, sublicense, rent, lease or lend the Software except as expressly permitted;
- modify, translate, reverse engineer, decompile or disassemble the Software, or attempt to derive source code, model weights, training data or algorithms, except to the extent this restriction is prohibited by mandatory law;
- circumvent or disable licence enforcement, seat limits, telemetry, or security features;
- place automated or bulk load on the cloud API beyond ordinary interactive use in Revit;
- remove or obscure proprietary notices;
- use the Software in breach of applicable export control or sanctions law, or in any unlawful manner.
4. Cloud services, data flow and connectivity
4.1 The plugin is a client that requires an internet connection. To produce results, the plugin extracts a structured geometric description of the selected rooms, their windows and doors, and the relevant surrounding context from your Revit model, and transmits that structured payload to Upskiller's cloud services hosted in the European Union.
4.2 The full Revit model (.rvt) is not transmitted, except where you deliberately provide a model to Upskiller for onboarding, model review or a LUX Certify simulation under the Master Agreement.
4.3 Upskiller provides and maintains the cloud back end (machine-learning inference and, for LUX Certify, the Radiance simulation environment). All hosting and processing for these services take place within the European Union / EEA.
4.4 The Software collects telemetry and usage data as described in Section 7 and in the Privacy Policy.
4.5 Accounts and access credentials. Access to the cloud services requires authentication with your work email address through Upskiller's identity provider. You must provide accurate registration information, keep your credentials confidential, not share your access or use another person's, and notify Upskiller without undue delay at [email protected] if you become aware of any unauthorised use of your account. You are responsible for activity carried out under your credentials. Upskiller may suspend an account where it reasonably suspects compromised credentials, breach of this EULA, or a risk to the security of the services.
4.6 Data stored in your Revit model. The plugin stores a small amount of its own data inside your Revit project file, for example analysis settings like the daylight standard selected. This data stays in your .rvt file, is not personal data, and is not transmitted to Upskiller except as part of the geometric payload described in 4.1. Uninstalling the plugin does not remove it.
5. Nature of results and professional responsibility
5.1 LUX Live predictions are approximate. They are produced by a statistical model and are intended to support iterative design decisions. They are not a validated simulation and must not be used on their own to demonstrate regulatory compliance or for certification.
5.2 LUX Certify results. Where Upskiller executes and delivers a verified Radiance simulation under the Master Agreement, Upskiller is responsible for the accuracy and reliability of the simulation output, and for algorithmic or model-related errors, provided that the geometric and material input data has been correctly supplied and verified by you. Upskiller's remedy for an erroneous result attributable to Upskiller is to re-perform the simulation at no additional cost, as further set out in the Master Agreement.
5.3 Your responsibilities. You are responsible for: verifying that the geometry and material inputs detected by the plugin correctly reflect your design; flagging rooms where automatic detection is incorrect; selecting the applicable daylight standard; and all professional design decisions. Upskiller does not provide architectural or engineering services and is not a party to your project agreements.
6. Intellectual property
The Software, including the plugin, the cloud services, the machine-learning models and weights, the training and validation datasets, the encoding pipeline, and all documentation, is and remains the exclusive property of Upskiller and its licensors. No rights are granted except as expressly stated. You retain all rights in your Revit models and project data. Simulation and prediction outputs delivered to you may be used for your project purposes, subject to Section 5 and the Master Agreement.
Feedback you provide about the Software may be used by Upskiller without restriction or obligation.
7. Telemetry and data use
7.1 The Software collects anonymised telemetry (for example usage frequency, feature use, performance metrics and error logs) used solely to operate, secure, monitor and improve the Software.
7.2 Geometric data you send for a prediction or simulation is used only to compute the results you request. It is not retained for machine-learning training, research or publication.
7.3 Telemetry that is strictly necessary to operate and secure the Software (e.g. error logs, seat enforcement) is collected in anonymised or pseudonymised form.
7.4 Processing of any personal data (for example the identity of the User, or a pseudonymised User identifier) is described in the LUX Revit Plugin — Privacy Policy. Where Upskiller processes project data on behalf of your organisation, it does so as a processor under the Data Processing Agreement (https://docs.upskiller.xyz/dpa), which is incorporated into the Master Agreement by reference.
8. Updates and third-party components
8.1 Upskiller may release updates to the plugin and may change or update the cloud services. Some updates may be required for continued operation or security. Older plugin versions or unsupported Revit versions may cease to function.
8.2 The Software runs inside Autodesk Revit and uses third-party components (including a WebView2-based 3D viewer). Your use of Autodesk Revit is governed by Autodesk's own terms. Known interoperability issues are documented in the release notes / documentation at https://docs.upskiller.xyz.
8.3 The cloud services run on third-party infrastructure providers (hosting, compute and authentication). Except as set out in the Master Agreement, Upskiller does not warrant uninterrupted availability and is not liable for downtime, delays or data loss caused by a failure of such a provider. This does not affect Upskiller's responsibility for its sub-processors under the Data Processing Agreement.
9. Support and availability
Support, onboarding, service levels and simulation turnaround are as set out in the Master Agreement. Absent a Master Agreement, the Software is provided with no support or availability commitment. Upskiller may perform maintenance and may suspend the cloud services temporarily where necessary for security or operational reasons.
10. Fees and payment
10.1 Fees are set out in the Master Agreement or in the applicable order. Except for the free evaluation under Section 2.1, use of the Software requires a current paid licence.
10.2 Unless the Master Agreement states otherwise, fees are invoiced in advance — annually for subscription licences, and per project or per simulation for LUX Certify — and are payable within thirty (30) days of the invoice date.
10.3 All fees are exclusive of VAT and any other applicable taxes, which are added where required.
10.4 Late payment carries interest under the Swedish Interest Act (räntelagen 1975:635). If an invoice remains unpaid more than fourteen (14) days after a written reminder, Upskiller may suspend access to the Software until payment is received.
10.5 Subscription licences renew for successive terms of equal length unless either party gives notice of non-renewal at least thirty (30) days before the end of the current term. Upskiller may change the fees for a renewal term by giving at least sixty (60) days' notice before renewal.
10.6 Fees already paid are non-refundable except where mandatory law requires otherwise or the Master Agreement expressly provides. Ending a subscription early does not entitle you to a refund for the remainder of the paid term.
11. Warranty disclaimer
To the maximum extent permitted by law, and except as expressly stated in the Master Agreement, the Software is provided "as is" and "as available", without warranties of any kind, express or implied, including accuracy, availability, fitness for a particular purpose, or non-infringement.
12. Limitation of liability
Except as otherwise set out in the Master Agreement:
- Neither party is liable for indirect or consequential loss, loss of profit, loss of data, loss of goodwill, or additional staff time.
- Upskiller's total aggregate liability arising out of or in connection with the Software is limited to the amount paid by your organisation to Upskiller under the Master Agreement in the twelve (12) months preceding the event giving rise to liability (or, where the Master Agreement sets a specific cap, that cap).
- Nothing in this EULA excludes or limits liability that cannot be excluded or limited under mandatory law, including liability for intent or gross negligence, for breach of confidentiality, for infringement of third-party intellectual property rights, or for death or personal injury caused by negligence.
- Where you are a consumer, your mandatory statutory rights are not affected.
13. Term and termination
This EULA applies for as long as you have the Software installed or use the cloud services, and in any event for the term of the Master Agreement. Upskiller may suspend or terminate your access if you materially breach this EULA or the Master Agreement, or if required by law. On termination or expiry you must stop using the Software, and, where the Master Agreement so requires, uninstall the plugin and confirm deletion of any copies. Sections 3, 5, 6, 7, 10, 11, 12 and 15 survive termination.
14. Confidentiality
Non-public information about the Software (including its performance, interfaces, and any pre-release features) is Upskiller's confidential information and may not be disclosed, subject to any broader confidentiality provisions in the Master Agreement.
15. Governing law and disputes
This EULA is governed by the laws of Sweden, without regard to conflict-of-law rules. Any dispute arising out of or in connection with this EULA shall, where a Master Agreement exists, be resolved in accordance with the dispute-resolution clause of that Master Agreement (arbitration under the SCC Rules, seat Stockholm, in Swedish). Otherwise, disputes shall be settled by the Swedish courts with Stockholm District Court as first instance. Consumers retain the protection of the mandatory rules of their country of residence.
16. Changes to this EULA
16.1 Upskiller may update this EULA from time to time, for example to reflect changes to the Software, its infrastructure, or legal requirements. The current version is always published at https://docs.upskiller.xyz/lux-terms with an updated "Last updated" date.
16.2 Where a Master Agreement is in place, Upskiller will notify your organisation of a material change to this EULA at least thirty (30) days before it takes effect. If the change has a material adverse effect on your organisation and the parties cannot agree an alternative, your organisation may terminate the affected licence on written notice before the change takes effect, and Upskiller will refund any prepaid fees for the unused remainder of the term.
16.3 Non-material changes, and changes required by law or for security, take effect when published. Your continued use of the Software after a change takes effect constitutes acceptance of the updated EULA.
17. Miscellaneous
This EULA, together with the Master Agreement and the Privacy Policy, is the entire agreement regarding the Software. If any provision is held unenforceable, the remainder stays in effect. Failure to enforce a provision is not a waiver. You may not assign this EULA without Upskiller's consent.
